3. Confidential Information
3.1For the purposes of this Agreement, “Confidential Information” means any information disclosed by one Party to the other, whether before or after the date of this Agreement.
3.2The Recipient shall keep the Confidential Information confidential for a period of seven (7) years from the date of disclosure, except in respect of trade secrets which shall be kept confidential in perpetuity.
4. Liability & Indemnity
4.1Each Party acknowledges that any breach of confidentiality may cause irreparable harm for which monetary damages may be inadequate.
4.2The Recipient shall indemnify the Discloser against any and all losses, claims, damages, and expenses arising out of or in connection with any breach of this Agreement, without limitation.
5. Term & Termination
5.1This Agreement shall commence on the Effective Date and remain in force for an initial period of twelve (12) months.
5.2The Agreement shall automatically renew for successive twelve (12) month periods unless either Party provides ninety (90) days' written notice prior to renewal.
6. Governing Law & Jurisdiction
6.1This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, and the parties submit to the exclusive jurisdiction of the Delaware courts.
7. Assignment
7.1Either Party may assign its rights and obligations under this Agreement to any third party without the prior written consent of the other Party.
8. General
8.1This Agreement constitutes the entire agreement between the Parties and supersedes any prior agreements relating to its subject matter.
